Regulations and budget for a commercial fit-out

Commercial fit-out works fall under three structuring bodies of regulation. The French Labour Code (articles R4214 et seq.) governs ventilation, lighting and workstation ergonomics. The ERP (public-access building) regulations apply when the site receives the public. The tertiary decree (commercial eco-energy scheme, OPERAT platform run by ADEME) requires a 40% reduction in energy consumption by 2030 for commercial buildings of more than 1,000 m².

On the budget side, the ARSEG Buzzy Ratios 2023 observatory puts the cost of a complete fit-out between 800 and 1,500 €/m² excluding furniture, depending on the level of specification. For an 850 m² floor plate (average Kytom area 2022-2024), the works budget represents between 680,000 € and 1.3 M€.

The contractual model, a lever to protect cash flow

For the CFO: the real issue is not the €/m², it is the contractual model. Article 1793 of the French Civil Code (lump-sum contract) fixes the price except for a written modification by the client: it is this, and not the technical specifications, that protects cash flow. In a separate-contract arrangement (independent trade packages, client-managed coordination), 8 to 15% of cost overruns land on the client’s operating account. In fixed-price Design & Build, they land on the contractor. For the Asset Manager, the stakes add up differently: a 12-week overrun on delivery = the standard period of rent-free avoidance not received, i.e. on the average area at 350 €/m²/year around 86,000 € of deferred cash flow.

The stakes beyond spend

The stakes go beyond spend:

  • a poorly coordinated site on occupied premises: measurable loss of productivity, HR complaints, schedule slippage;
  • absence of a prevention plan: criminal liability for the client (French Labour Code R4511);
  • incomplete as-built file: degraded building operation for 5 to 10 years.

Why locked-down technical specifications do not protect you

Kytom’s position, contrary to the doctrine of procurement departments. The dominant practice is to put 4 to 6 general contractors into competition on very detailed technical specifications, believing that the precision of the brief protects against overruns. Our reading, after 68 projects: it is the opposite. The more the specifications are locked onto fixed technical solutions, the more the contractor’s constructive variants are constrained and the more change orders explode during execution. Performance-based specifications (acoustic, thermal and lighting targets in lux) with freedom of means statistically generate fewer change orders than means-based specifications. The fixed-price Design & Build contract loses its value below 200 m² (structuring costs > savings) and above 5,000 m² with phasing > 9 months (better to opt for a separate-contractors arrangement with a dedicated coordinator).
